This avalanche of paper can often seem overwhelming and it is then easy to miss the small things that can all too often trip you up, and have a huge impact on what you are buying as opposed to what you think you’re buying. Having a specialist den- tal solicitor to help guide you through the process, and check the paperwork for dis- crepancies can prove invalua- ble as this recent case history illustrates. The practice in question was spread over two floors, with the upper floor includ- ing a room above a pub- lic passageway leading to a rear courtyard. During the routine process of checking that the plans at the Land Reg- istry matched what the buying dentist believed was includ- ed in the purchase we dis- covered that the documents at the Land Registry missed off the room above the pas- sageway. This meant that the selling dentist simply didn’t have legal ownership of this room. The dentist buying the practice understandably be- lieved he was buying the room in question, which was being used by the practice as a sur- gery. However, technically speaking this was not part of the property being sold. The situation was resolved using the rules of adverse pos- session (commonly known as squatters’ rights) and assign- ing these rights to this room to the buyer. This allowed the buyer to acquire a right to use this room and a right to regis- ter a title to that room at the Land Registry. Any unknown rights of third parties against the room were insured against with a one-off payment insur- ance policy. However, the claim was further complicated due to the fact that there was a pas- sageway running beneath the room which was used by mem- bers of the public. Clearly the selling dentist didn’t own the passageway beneath the room but consideration had to be made as to what was and what was not owned - for example what about the beams on the underside of the room that offered it support and what rights were available to carry out repairs?. A specialist dental solici- tor will be able to guide you through the process and find solutions to your problems. However, in this instance without a full check of all of the documentation associ- ated with a practice the situ- ation would not have been picked up and the buying dentist would have paid for a room that the seller had no legal ownership of. Indeed, who knows whether the next buyer would have discovered this irregularity if and when the dentists decided to sell on the practice ? The lesson is clearly to never assume anything and al- ways check the detail, even on what at first glance, seems a straightforward property con- veyance. Because dentistry has many specifics relating to legal matters including con- tracts, regulatory responsibil- ities, partnership agreements, patient complaints and prop- erty ownership, it is really im- portant to employ legal advis- ers who know and understand the dental profession. Everyone in business is facing the financial chal- lenges of the recession, and it can be tempting to think it is not worth spending money on specialist lawyers for what ap- pears to be a straightforward transaction or arrangement. Sadly, examples of false econ- omy in business are legion, and choosing to dispense with legal help on the grounds of cost is well proven to be one of them. When it comes to matters of the law, especially when re- solving claims or disputes, at- tention to the smallest detail is essential. What may seem in- consequential or irrelevant to a layman may prove to be the linchpin of a complex compen- sation claim further down the line. That is why contracts need to be planned with all eventu- alities in mind, and property details and accounts need to be meticulously examined. It is a surprisingly wise investment and could save you money and heartache by resolving issues before they become problems.
