A partnership business is owned and managed by the part- ners themselves, whereas in a company structure there is a legal distinction between the shareholders as owners, and the directors who are responsible for running the company. However, in the aver- age small dental practice the shareholders and directors are likely to be either the same people or perhaps a prin- cipal with supporting family members. There is considerable con- fusion about how the Board of Directors must be made up, partly due to Section 39 of the 2005 amendment to the Dentists Act (1984) which re- places section 43 of the 1984 Act and states that the major- ity of directors must be “reg- istered dentists or registered dental care professionals”; in other words therapists, nurs- es and other GDC-registered dental healthcare profes- sionals. However, the legis- lation is badly worded as the definition is written in the negative rather than posi- tive: ie “A body corporate commits an offence if it carries on the business of dentistry at a time when a majority of its di- rectors are not persons who are either registered dentists or registered dental care pro- fessionals.” The inference is that if 50 per cent of the directors are non-dentists then no offence is committed, as 50 per cent is not a majority. On this basis then, the two-person Board of Directors could be the dental practitioner and their non- GDC registered spouse. The GDC is taking legal ad- vice in order to try and clarify the position and end the con- fusion caused by the current wording of Section 43 of the Act. My view is that the intent appears to be to ensure that the operation of the practice is controlled by DCPs and there- fore the revised amendment should address the confusion over the 50/50 position in the case of two directors where only one of whom is a DQP.
